MAJOR TRANSACTION
Loan of HK$160 million to Pacific Top International Corp.
DELAY IN DESPATCH OF CIRCULAR
The Company has applied to the Stock Exchange for a further
extension of the deadline for despatch of the circular in
relation to a loan of HK$160 million advanced by the Group
to Pacific Top from 27th September, 2004 to 4th October,
2004.
References are made to the two public announcements made
by Shell Electric Mfg. (Holdings) Company Limited (the
"Company" and, together with its subsidiaries, the "Group")
dated 27th August, 2004 (the "Announcement") and 16th
September, 2004 (the "Extension Announcement") in relation
to a loan of HK$160 million advanced by SMC Microtronic,
a wholly owned subsidiary of the Company, to Pacific Top
for the Term and subject to the terms and conditions of the
Loan Agreement.
Capitalised terms used herein have the meanings ascribed
thereto in the Announcement.
DELAY IN DESPATCH OF CIRCULAR
Under Rule 14.38 of the Listing Rules, the circular in
relation to the above major transaction is required to be
despatched to the Shareholders of the Company no later than
17th September, 2004, being 21 days after the publication
of the Announcement, which date was extended to 27th
September, 2004 by the Stock Exchange on application by the
Company and which extension of despatch was published in
the Extension Announcement.
As additional time is required to prepare the financial
information (principally relating to the compilation of the
statements of indebtedness and of working capital of the
Group) for inclusion in the circular, application has been
made by the Company to the Stock Exchange for consent further
to extend the time for despatch of the circular from 27th
September, 2004 to 4th October, 2004.
